Terms of Service

NinjasProxy provides access to proxy infrastructure including residential, datacenter, and mobile proxy networks (“Services”). Access is provided via HTTP(S) and SOCKS5 protocols through authenticated endpoints. Service availability, features, and pricing are described on our website and may change with notice.

You may use the Services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy (“AUP”), which is incorporated by reference. You agree not to use the Services to:

• Scrape, harvest, or collect data in violation of applicable law or a website’s terms of service where such violation constitutes illegal conduct
• Access, store, distribute, or transmit child sexual abuse material (CSAM) or any content that sexually exploits minors
• Commit fraud, identity theft, phishing, or any form of financial crime
• Send unsolicited bulk email (spam) or conduct mass marketing without recipient consent
• Launch or facilitate denial-of-service (DoS/DDoS) attacks or any form of network abuse
• Gain unauthorized access to systems, networks, or accounts
• Violate any applicable local, state, national, or international law or regulation
• Resell or sublicense access to the Services without our prior written consent

Violation of this section may result in immediate account termination without refund and may be reported to applicable law enforcement authorities.

To use the Services you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater
• Provide accurate, current, and complete registration information
• Maintain only one account per individual or legal entity; duplicate accounts may be suspended
• Keep your login credentials confidential and notify us immediately of any unauthorized use
• Not share account credentials with third parties

You are responsible for all activity that occurs under your account. We reserve the right to verify account information and to refuse or revoke access at our discretion.

The Services operate on a prepaid credit model. All fees are stated in US dollars.

• Prepaid credits. You purchase credits in advance. Credits are deducted as you consume bandwidth or IP slots. There is no minimum spend.
• No refunds on consumed bandwidth. Credits that have been applied against usage are non-refundable. Unused credits may be refunded within 30 days of purchase; requests after 30 days are evaluated at our sole discretion.
• Pricing changes. We reserve the right to modify pricing with at least 14 days’ written notice. Continued use after the effective date constitutes acceptance.
• Taxes. You are responsible for all applicable taxes. Prices shown exclude VAT/GST unless otherwise noted.
• Payment processing. Payments are processed by our third-party billing provider. We do not store full payment card details.

We target 99.9% monthly uptime for our proxy infrastructure, measured as the percentage of minutes in a calendar month during which the service is operational, excluding scheduled maintenance windows.

• Scheduled maintenance. We will provide at least 24 hours’ advance notice of scheduled maintenance that may affect service availability. Maintenance windows are typically conducted during off-peak hours (02:00–06:00 UTC).
• SLA credits. If monthly uptime falls below 99.9% due to causes within our control, you may request a service credit equal to the proportional value of the downtime. Credits are your sole remedy for outages.
• Force majeure. We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, acts of government, ISP outages, or third-party provider failures.

All software, APIs, documentation, trade names, and branding associated with the Services are the exclusive property of NinjasProxy or its licensors. These Terms do not grant you any rights to our intellectual property beyond a limited, non-exclusive, non-transferable license to use the Services as permitted herein. You may not reverse engineer, decompile, or otherwise attempt to derive source code from any part of the Services.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services you consent to the data practices described therein. We do not log or inspect the content of traffic routed through our proxy network.

Either party may terminate these Terms at any time.

• By you. You may close your account at any time via the customer portal. Prepaid credits remaining at termination are subject to our refund policy in Section 4.
• By us — for cause. We may suspend or terminate your account immediately and without prior notice if we reasonably believe you have violated these Terms, the AUP, or applicable law. No refund will be issued on termination for cause.
• By us — without cause. We may terminate your account for any other reason with 30 days’ written notice. In this case, unused credits will be refunded.

Sections 2, 6, 8, 9, 10, and 11 survive termination.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NINJASPROXY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. You waive any right to participate in class-action litigation.

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 14 days before they take effect. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

Entire agreement. These Terms, together with the AUP and Privacy Policy, constitute the entire agreement between you and NinjasProxy with respect to the Services and supersede all prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited to the minimum extent necessary and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
